LLC registration in Georgia

Updated 20 September 2026 What the service covers Reviewed by: Maia Tordia, lawyer

We set up an LLC (შპს): prepare the founding documents, register the company, put it on the tax record and assemble the set for the bank procedure.

A shareholder is liable up to the value of their contribution, and that is what separates the form from a sole trader. The comparison is in a separate explainer.

Our fee: from $500, consultation $30

Discuss your matterMon–Fri, 10:00–18:00 Tbilisi time

Kanon Georgia is a private law and accounting firm, not a government authority. The competent authority makes the decision; state fees are paid separately.

What the work covers

When a tailored charter is needed

A standard charter is usually enough when there is one shareholder and no special arrangements. A tailored one is needed when there are several and something to record between them: how decisions are taken, pre-emption rights on a sale of a share, how a shareholder exits, the split of powers between the director and the meeting, what happens to a share in a dispute. This is the document people return to when partners disagree - so it is worth writing before, not after.

What is not included

What you will need

You do not need the full set at the start. Some documents are worth obtaining only once the scope is agreed.

How the work goes

  1. You describe the case through the form, by email or in a messenger.
  2. A lawyer reviews the facts: what you already have, what has to be obtained, where the weak points are.
  3. We agree the scope and the price. Up to this point you pay nothing.
  4. We sign a contract in which the scope of the service is set out in writing.
  5. You hand over the documents, we check the set and tell you what is missing.
  6. We run the procedure and keep you informed at every step.
  7. You receive the result and the full set of documents.

Prices

The price covers support through the procedure and the registered address. The state fee is paid separately and depends on the processing time.

What is outside our control

Where a decision rests with an authority or a bank, we say so before the work starts, not after a refusal.

About this page. It sets out the scope of our service and the general order of the procedure. It is not legal advice and not a public offer: the scope, the timing and the price for a particular matter are agreed individually and recorded in the contract. Requirements, fees and practice change, so anything here is checked against the position on the day you apply. In many procedures the final decision rests with the competent authority and its discretion, so a positive outcome cannot be guaranteed.
